Self-Employed Driver Agreement

Effective Date: Date of registration or 22/07/2026 

These Terms and Conditions govern the relationship between ABDB Enterprise Limited T/A Thanks Drive (“the Company”, “we”, “our”, or “us”) and the registered self-employed private hire driver (“the Driver”, “you”, or “your”).

By registering with Thanks Drive and accepting bookings through our platform, you confirm that you have read, understood and agree to these Terms and Conditions.


1. Self-Employed Status

1.1 You acknowledge and agree that you are engaged as an independent self-employed contractor.

1.2 Nothing in this agreement shall create an employer/employee relationship, partnership, joint venture or agency between you and Thanks Drive.

1.3 You are solely responsible for:

  • Your own Income Tax.
  • National Insurance.
  • VAT (where applicable).
  • Pension contributions.
  • Business expenses.
  • Accounting obligations.

1.4 You are free to undertake work for other operators unless prohibited by your licensing authority.


2. Driver Requirements

To remain registered with Thanks Drive you must maintain at all times:

  • A valid Private Hire Driver Licence issued by your licensing authority.
  • A valid Private Hire Vehicle Licence.
  • A current DVLA Driving Licence.
  • A valid MOT certificate (where legally required).
  • Valid Fitness Test (where required)
  • Valid Hire & Reward motor insurance covering all journeys undertaken.
  • Any additional insurance required by your licensing authority.
  • A current DBS certificate where required.
  • Medical certification where required by your licensing authority.

Failure to maintain any of the above will result in immediate suspension from the platform.


3. Compliance with Licensing Laws

Drivers agree to comply with:

  • All legislation relating to private hire vehicles.
  • Local authority licensing conditions.
  • Road Traffic legislation.
  • Highway Code.
  • Equality Act 2010.
  • Data Protection legislation.
  • Any policies issued by Thanks Drive.

Drivers are responsible for ensuring they remain fully licensed at all times.


4. Vehicle Standards

Vehicles must:

  • Be licensed for private hire.
  • Be mechanically safe.
  • Be clean inside and outside.
  • Be smoke free.
  • Be roadworthy at all times.
  • Meet the standards required by the licensing authority.

Drivers must immediately report any accident or damage affecting roadworthiness.


5. Driver Conduct

Drivers agree to:

  • Treat passengers respectfully.
  • Drive safely and professionally.
  • Follow all traffic laws.
  • Not discriminate against passengers.
  • Provide assistance where reasonably required.
  • Maintain professional appearance.
  • Keep vehicles clean.
  • Not consume alcohol or illegal drugs before or during work.

Aggressive, abusive or threatening behaviour will result in removal from the platform.


6. Booking Acceptance

Drivers are under no obligation to accept bookings.

Once a booking has been accepted, drivers agree to complete the journey unless prevented by exceptional circumstances.

Repeated cancellations may result in suspension.


7. Insurance

Drivers warrant that they maintain:

  • Hire & Reward insurance.
  • Public liability insurance (if required).
  • Employer’s liability insurance where legally required.

Drivers are responsible for ensuring insurance remains valid throughout every journey.


8. Driver Responsibility

Drivers are solely responsible for:

  • Their vehicle.
  • Fuel.
  • Repairs.
  • Maintenance.
  • Insurance.
  • Licensing.
  • Parking penalties.
  • Traffic offences.
  • Congestion charges.
  • Clean Air Zone charges.
  • ULEZ charges.
  • Toll charges unless agreed otherwise.

9. Customer Service

Drivers agree to:

  • Arrive punctually.
  • Contact passengers if delayed.
  • Assist with reasonable luggage.
  • Keep communication polite.
  • Complete journeys professionally.

10. Lost Property

Drivers must make reasonable efforts to return lost property.

Drivers must inform Thanks Drive of any items found after a customers journey. 

Thanks Drive accepts no liability for lost items.

Any recovery costs may be charged to the passenger where appropriate.


11. Complaints

Drivers agree to cooperate fully with investigations.

Thanks Drive may temporarily suspend drivers while complaints are investigated.

Serious complaints may result in permanent removal.


12. Safety

Drivers must never:

  • Drive whilst impaired.
  • Use a handheld mobile phone whilst driving.
  • Carry more passengers than legally permitted.
  • Allow passengers to travel without seatbelts where legally required.

13. Data Protection

Drivers must:

  • Keep passenger information confidential.
  • Only use passenger details for completing bookings.
  • Never retain customer information for personal marketing.
  • Comply with UK GDPR.

14. Confidentiality

Drivers must not disclose:

  • Pricing arrangements.
  • Customer lists.
  • Commercial information.
  • Internal systems.
  • Business procedures.

This obligation continues after leaving Thanks Drive.


15. Fees and Payments

Thanks Drive will collect payments from customers unless otherwise agreed.

Drivers will receive payment in accordance with the agreed commission or payment schedule.

Any operator commission will be deducted before payment.

Payment dates may vary depending upon card settlement times.

15A. Commission and Payment Terms

15A.1 Thanks Drive acts as the licensed private hire operator and may charge an operator commission for bookings completed through its platform.

15A.2 The commission rate shall be communicated to the Driver separately and may be amended by providing reasonable notice.

15A.3 Driver payments will normally be made weekly by bank transfer unless otherwise agreed.

15A.4 Thanks Drive reserves the right to deduct from payments due to the Driver:

  • Operator commission.
  • Card processing fees (where applicable).
  • Customer refunds resulting from driver fault.
  • Chargebacks.
  • Outstanding balances owed to Thanks Drive.
  • Any agreed administration charges.

15A.5 Drivers are responsible for ensuring that their bank details remain accurate.

15A.6 Thanks Drive reserves the right to withhold payment while investigating complaints, fraud, licensing issues or suspected breaches of these Terms.

Non-Solicitation of Customers

15AA. Protection of Thanks Drive Customers

15AA.1 The Driver acknowledges that all passengers, customers and business clients introduced through Thanks Drive are valuable business relationships of Thanks Drive.

15AA.2 During their registration with Thanks Drive and for a period of 12 months following the termination of their registration, the Driver agrees that they will not, either directly or indirectly:

  • Solicit, canvass or encourage any Thanks Drive customer to book private hire services outside the Thanks Drive booking platform.
  • Accept direct bookings from a customer introduced through Thanks Drive where the purpose is to avoid Thanks Drive’s booking system or operator fees.
  • Exchange personal contact details with customers for the purpose of arranging future journeys outside the Thanks Drive platform.
  • Provide personal business cards, flyers, QR codes, social media details or other promotional material to passengers introduced through Thanks Drive.
  • Offer discounted journeys or incentives designed to encourage customers to book directly with the Driver rather than through Thanks Drive.
  • Use customer information obtained through Thanks Drive for any purpose other than completing the booked journey.

15AA.3 This clause does not prevent a Driver from accepting a booking from a customer where that booking has been made through Thanks Drive.

15AA.4 If a customer independently contacts the Driver following a journey arranged by Thanks Drive, the Driver must advise the customer that future bookings should be made through Thanks Drive.

15AA.5 The Driver acknowledges that any attempt to divert customers away from Thanks Drive may cause significant financial loss and damage to the Company’s goodwill.

15AA.6 If Thanks Drive reasonably believes that the Driver has breached this clause, it may:

  • Immediately suspend or terminate the Driver’s registration.
  • Refuse future bookings.
  • Recover any unpaid commission relating to diverted bookings where legally permissible.
  • Take legal action to recover losses suffered as a result of the breach where appropriate.

15AA.7 The Driver agrees that this restriction is reasonable and necessary to protect the legitimate business interests, goodwill and customer relationships of Thanks Drive and is not intended to prevent the Driver from undertaking work for other private hire operators or obtaining customers through their own independent marketing activities.


15B. Booking Cancellations and No-Shows

15B.1 Drivers should only accept bookings they intend to complete.

15B.2 If a Driver is unable to complete an accepted booking, they must notify Thanks Drive immediately.

15B.3 Repeated cancellations without reasonable justification may result in suspension or removal from the platform.

15B.4 Where a passenger fails to attend, the Driver must follow the instructions provided by Thanks Drive before leaving the pickup location.

15B.5 Drivers must never cancel a booking directly with the passenger unless authorised by Thanks Drive.

15B.6 Cancellation fees or waiting time charges will only be payable where permitted by Thanks Drive’s customer terms.


15C. Waiting Time

15C.1 Drivers are expected to arrive punctually.

15C.2 Drivers should allow the standard waiting period communicated for each booking before marking a passenger as a no-show.

15C.3 Drivers should make reasonable efforts to contact the passenger before leaving.

15C.4 Any additional waiting time charges shall only be applied where authorised by Thanks Drive.


15D. Service Standards

Drivers agree to maintain professional service standards including:

  • Wearing clean and appropriate clothing.
  • Maintaining good personal hygiene.
  • Keeping the vehicle clean and free from unpleasant odours.
  • Maintaining comfortable interior temperatures whenever reasonably possible.
  • Providing a courteous and respectful service.
  • Not smoking or vaping inside the vehicle.
  • Not allowing loud or offensive music during passenger journeys unless requested.
  • Providing reasonable assistance with luggage.
  • Carrying child seats only where pre-arranged or legally required.
  • Complying with airport, railway station and venue pickup procedures.

15E. Technology and Platform Use

Drivers agree to:

  • Use the Thanks Drive booking system only for authorised business purposes.
  • Keep login details secure.
  • Never allow another person to use their account.
  • Ensure their mobile device remains sufficiently charged whilst available for bookings.
  • Enable location services when using the booking platform.
  • Keep the application updated where applicable.

Drivers must not attempt to interfere with, copy or misuse any part of the booking system.


15F. Safeguarding

Drivers acknowledge that they may transport:

  • Children.
  • Vulnerable adults.
  • Elderly passengers.

Drivers agree to:

  • Behave professionally at all times.
  • Follow safeguarding guidance issued by their licensing authority.
  • Report any safeguarding concerns to the appropriate authority where legally required.
  • Never leave children unattended except where authorised by law or instructed by the responsible adult.

15G. Zero Tolerance Policy

Thanks Drive operates a zero-tolerance policy towards:

  • Alcohol or drug use whilst working.
  • Violence or threats.
  • Harassment.
  • Bullying.
  • Sexual misconduct.
  • Discrimination.
  • Racist, sexist, homophobic or abusive behaviour.
  • Fraud or dishonesty.

Any breach may result in immediate suspension and permanent removal from the platform.


15H. Document Renewal

Drivers are responsible for ensuring all licences, insurance certificates, MOT certificates, vehicle licences and any other required documentation remain valid.

Updated documents must be submitted to Thanks Drive before the expiry of existing documents.

Failure to provide updated documentation may result in automatic suspension until satisfactory evidence is received.

Drivers must immediately notify Thanks Drive of:

  • Licence suspension.
  • Licence revocation.
  • Insurance cancellation.
  • Criminal convictions where disclosure is required.
  • Medical conditions affecting fitness to drive.
  • Vehicle accidents affecting roadworthiness.
  • Any investigation by their licensing authority.

Failure to notify Thanks Drive may result in permanent removal from the platform.


15I. Soliciting Customers

Drivers agree that customers introduced through Thanks Drive remain customers of Thanks Drive.

Drivers shall not directly or indirectly encourage passengers to book future journeys outside the Thanks Drive booking platform.

Drivers must not:

  • Exchange personal contact details for the purpose of bypassing Thanks Drive.
  • Hand out personal business cards to passengers obtained through Thanks Drive.
  • Offer discounted journeys outside the platform.
  • Accept private bookings from Thanks Drive customers unless the booking is made through Thanks Drive.

A breach of this clause may result in immediate termination of the Driver’s registration.


15J. Dashcams

Where a vehicle is fitted with a dashcam, Drivers must ensure its use complies with UK GDPR and any applicable licensing authority requirements.

Passengers should be informed where required by law or licensing conditions.

Thanks Drive may request dashcam footage as part of an investigation into complaints, incidents or accidents.


15K. Branding

Where Thanks Drive provides vehicle branding, uniforms, signage or promotional materials, these remain the property of Thanks Drive unless otherwise agreed.

Drivers must remove and return any branding upon termination of their registration if requested.


15L. Right to Audit

Thanks Drive reserves the right to request copies of licences, insurance certificates, MOT certificates, vehicle licences and any other documents necessary to verify compliance with these Terms.

Failure to provide requested documentation within a reasonable timeframe may result in suspension.

15M. Driver Identity and Substitution

15M.1 Drivers must personally complete every booking they accept through the Thanks Drive platform.

15M.2 Drivers must not allow another person to:

  • Use their Thanks Drive account.
  • Access the booking platform using their login details.
  • Complete a booking on their behalf.
  • Drive a passenger using the Driver’s account.

15M.3 Drivers must keep their login credentials confidential and take all reasonable steps to prevent unauthorised access.

15M.4 Any attempt to share, transfer or permit another individual to use a Driver account will be treated as a serious breach of these Terms and may result in immediate suspension or permanent removal from the platform.

15M.5 Where Thanks Drive reasonably suspects that a booking has been completed by someone other than the registered Driver, we reserve the right to suspend the Driver’s account immediately while the matter is investigated.


15N. GPS Tracking and Journey Records

15N.1 Drivers acknowledge and agree that Thanks Drive may collect, process and retain information relating to bookings and journeys completed through its platform.

This information may include:

  • GPS location data.
  • Journey routes.
  • Pick-up and drop-off locations.
  • Dates and times of bookings.
  • Vehicle details.
  • Driver details.
  • Customer communications made through the platform.
  • Booking history.

15N.2 This information may be used for legitimate business purposes including:

  • Booking management.
  • Customer support.
  • Complaint investigations.
  • Accident investigations.
  • Fraud prevention.
  • Safety and safeguarding.
  • Compliance with licensing authority requirements.
  • Insurance claims.
  • Regulatory audits.
  • Legal proceedings where required.

15N.3 Thanks Drive will process all personal information in accordance with UK GDPR and applicable data protection legislation.

15N.4 Drivers agree to cooperate fully with any investigation and provide any additional information reasonably requested relating to a booking or journey.

15N.5 Drivers acknowledge that GPS and journey records may be disclosed to law enforcement agencies, licensing authorities, insurers or other regulatory bodies where legally required or where necessary to protect the safety of passengers, Drivers or the public.

15N.6 Thanks Drive may retain journey records for as long as reasonably necessary to comply with legal, regulatory and business obligations.

15O. Safeguarding and Vulnerable Passengers

15O.1 Drivers acknowledge that they may transport children, vulnerable adults, elderly passengers and passengers requiring additional assistance.

15O.2 Drivers must comply with all safeguarding requirements imposed by their licensing authority and applicable legislation.

15O.3 Drivers must:

  • Treat all passengers with dignity and respect.
  • Exercise patience and professionalism at all times.
  • Report any safeguarding concerns to the appropriate authorities where legally required.
  • Never leave a child or vulnerable passenger unattended unless authorised by a responsible adult or required by law.
  • Never engage in inappropriate behaviour, conversations or physical contact with passengers.

15O.4 Drivers undertaking school transport, healthcare transport or social care contracts must comply with any additional safeguarding procedures issued by Thanks Drive or the contracting organisation.


15P. Accessibility and Equality

15P.1 Drivers must comply with the Equality Act 2010 and all applicable licensing conditions relating to disabled passengers.

15P.2 Drivers must not refuse a booking because of a passenger’s disability, assistance dog or mobility requirements where doing so would be unlawful.

15P.3 Drivers shall provide reasonable assistance to passengers where required, including:

  • Assisting with boarding and alighting.
  • Loading and unloading wheelchairs or mobility aids where the vehicle is suitable.
  • Assisting with luggage where reasonably practicable.

15P.4 Drivers must not make additional charges for carrying assistance dogs or providing legally required assistance.


15Q. Smoking, Vaping and Alcohol Policy

15Q.1 Smoking and vaping are strictly prohibited inside the vehicle whilst undertaking bookings through Thanks Drive.

15Q.2 Drivers must not consume alcohol or illegal drugs before or during their working period.

15Q.3 Drivers must not be under the influence of any medication that impairs their ability to drive safely.

15Q.4 Any breach of this policy may result in immediate suspension and removal from the platform.


15R. Accident and Incident Reporting

15R.1 Drivers must notify Thanks Drive as soon as reasonably practicable of:

  • Any road traffic collision.
  • Passenger injury.
  • Vehicle breakdown preventing completion of a booking.
  • Police involvement.
  • Vehicle damage affecting safety.
  • Licensing investigations.
  • Criminal allegations relevant to their suitability as a licensed driver.

15R.2 Drivers must fully cooperate with any investigation carried out by Thanks Drive, insurers, licensing authorities or the police.

15R.3 Drivers shall provide copies of accident reports, insurance claims or police reference numbers where reasonably requested.


15S. Vehicle Cleanliness and Presentation

Drivers agree to maintain their vehicle to a professional standard at all times.

Vehicles should:

  • Be clean inside and outside.
  • Be free from excessive damage.
  • Be free from unpleasant odours.
  • Have functioning heating and ventilation systems.
  • Have working seatbelts for every passenger.
  • Have sufficient luggage space where appropriate.
  • Be maintained in accordance with manufacturer recommendations.

Thanks Drive reserves the right to suspend vehicles that do not meet acceptable presentation or safety standards.


15T. Force Majeure

Neither party shall be liable for any failure or delay in performing their obligations where caused by circumstances beyond their reasonable control, including but not limited to:

  • Severe weather.
  • Flooding.
  • Road closures.
  • Major traffic incidents.
  • Industrial action.
  • Government restrictions.
  • Acts of terrorism.
  • Civil unrest.
  • National emergencies.
  • Failure of telecommunications or technology systems.

Drivers must nevertheless make reasonable efforts to notify Thanks Drive if they are unable to complete a booking.


15U. Entire Agreement

These Terms and Conditions constitute the entire agreement between the Driver and Thanks Drive relating to the Driver’s registration and use of the platform.

They supersede any previous agreements, discussions or understandings relating to the same subject matter.


15V. Severability

If any provision of these Terms is found by a court or competent authority to be invalid, illegal or unenforceable, that provision shall be deemed severed from the agreement.

The remaining provisions shall continue in full force and effect.


15W. Electronic Acceptance

Drivers acknowledge that these Terms may be accepted electronically through the Thanks Drive registration process.

Electronic acceptance shall have the same legal effect as a handwritten signature.

Drivers are responsible for ensuring they have read these Terms before confirming acceptance.


15X. Right to Refuse or Remove Drivers

Thanks Drive reserves the absolute discretion to refuse an application for registration or to remove a Driver from the platform where it reasonably believes that continued registration may:

  • Place passengers at risk.
  • Damage the reputation of Thanks Drive.
  • Breach licensing conditions.
  • Breach legal obligations.
  • Present an unacceptable operational or commercial risk.

Where appropriate, Thanks Drive may suspend a Driver while enquiries are undertaken before making a final decision.


15Y. Driver Cooperation with Licensing Authorities

Drivers agree to cooperate with any lawful request from:

  • Their licensing authority.
  • The licensing authority responsible for Thanks Drive.
  • The police.
  • The Driver and Vehicle Standards Agency (DVSA).
  • Other statutory enforcement bodies.

Drivers must promptly provide any documentation reasonably requested by Thanks Drive to demonstrate continued compliance with licensing requirements.


15Z. Survival of Obligations

The following provisions shall continue to apply after termination of the Driver’s registration:

  • Confidentiality.
  • Data Protection.
  • Indemnity.
  • Outstanding Payments.
  • Refund Recovery.
  • Complaint Investigations.
  • Legal Proceedings.
  • Any other provisions intended by their nature to survive termination.

16. Refunds and Chargebacks

If a customer receives a refund due to driver misconduct or failure to complete a booking, Thanks Drive reserves the right to recover the relevant amount from future driver payments.

Drivers remain responsible for losses arising from:

  • Failure to attend.
  • Dangerous driving.
  • Misconduct.
  • Fraud.
  • Breach of these Terms.

17. Platform Access

Thanks Drive reserves the right to:

  • Suspend accounts.
  • Refuse bookings.
  • Remove drivers.
  • Request updated documents.

without notice where necessary to protect passengers or comply with licensing obligations.


18. Immediate Suspension

Drivers may be suspended immediately where:

  • Insurance expires.
  • Licence expires.
  • MOT expires.
  • Vehicle licence expires.
  • Serious complaint received.
  • Criminal investigation.
  • Dangerous driving.
  • Fraud suspected.

19. Indemnity

Drivers agree to indemnify Thanks Drive against any claim, loss, liability, damage, legal costs or expense arising from:

  • Driver negligence.
  • Breach of these Terms.
  • Driving offences.
  • Insurance failures.
  • Licensing breaches.

20. Limitation of Liability

Thanks Drive acts solely as a licensed private hire operator arranging bookings.

Drivers remain solely responsible for:

  • Driving.
  • Passenger safety.
  • Vehicle condition.

21. Termination

Either party may terminate this agreement at any time.

Thanks Drive may terminate immediately for:

  • Serious misconduct.
  • Fraud.
  • Licensing breaches.
  • Insurance failures.
  • Criminal conduct.
  • Repeated customer complaints.

22. Changes to These Terms

Thanks Drive may amend these Terms from time to time.

Drivers will be notified of material changes.

Continued use of the platform constitutes acceptance of updated Terms.


23. Governing Law

These Terms shall be governed by the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.


Driver Declaration

By registering with Thanks Drive I confirm that:

  • I am self-employed.
  • I hold all licences required by law.
  • I maintain valid insurance.
  • My vehicle is legally licensed.
  • I will comply with all licensing conditions.
  • I will comply with these Terms and Conditions.
  • All documents supplied are genuine and current.
